01Overview
This License Agreement ("Agreement") sets out the terms under which Makers Unity LLC ("MMKeys", "we") supplies you ("Licensee", "you") with a genuine Microsoft product key purchased from mmkeys.com. Together with our Terms of Service and Refund Policy, this Agreement forms the basis of your relationship with us in respect of the license key delivered to you.
02What You Receive
When you purchase a product from MMKeys, you receive:
- A genuine Microsoft product key required to activate the relevant Microsoft software.
- Where applicable, a download link for the official Microsoft installer.
- Written installation and activation instructions.
- Customer support for issues related to delivery and activation of the key.
MMKeys does not supply the Microsoft software itself. The software is owned and licensed by Microsoft Corporation and is downloaded from Microsoft's official servers.
03Microsoft's EULA Governs the Software
Your use of the underlying Microsoft software is governed exclusively by the Microsoft Software License Terms / End User License Agreement (EULA) presented to you during installation. You must read and accept the Microsoft EULA before using the software.
This Agreement covers your relationship with MMKeys (the reseller). The Microsoft EULA covers your relationship with Microsoft (the software publisher). Both apply, and neither replaces the other.
04Single-Use License
Unless the product page explicitly states otherwise, each product key sold by MMKeys is a single-use license for one device and one Microsoft account. Once a key has been activated, it cannot be used again on a different device or account, even if the original device is no longer in service, except as specifically permitted by Microsoft's license terms (for example, certain retail licenses may be transferable between devices owned by the same user — refer to the applicable Microsoft EULA).
05Permitted Use
You may: install and use the software on one device for personal or business use as permitted by Microsoft's EULA; make a backup copy as permitted by the EULA; receive updates issued by Microsoft for the product version you purchased.
06Prohibited Use
You must NOT: resell, sublicense, lease, lend, or redistribute the product key to any third party; use the key on more devices than permitted by the Microsoft EULA; share the key publicly, on forums, or with anyone outside your household or organization; attempt to bypass Microsoft's activation or anti-piracy mechanisms; use the software for any unlawful purpose; reverse engineer, decompile, or disassemble the software except where the Microsoft EULA expressly permits it.
Any breach of these prohibitions automatically terminates your rights under this Agreement and may also breach the Microsoft EULA — giving Microsoft the right to deactivate the license without compensation.
07Activation & Reinstallation
Most Microsoft product keys are designed to activate once and bind to a specific device or Microsoft account. If you need to reinstall the software on the same device (for example, after a clean OS reinstall), reactivation will typically succeed using the same key.
If you wish to move a retail license to a new device, you must:
- Uninstall or deactivate the software on the original device.
- Use the same Microsoft account where activation is tied to the account.
- Follow Microsoft's official transfer instructions for that product.
OEM, Volume, and Education licenses generally cannot be transferred between devices. Check the product page for which license type you are purchasing.
08Transfer of License
Whether you may transfer your license to another person depends on the underlying Microsoft license type:
- Retail (FPP) licenses — generally transferable, subject to the Microsoft EULA, provided the software is fully uninstalled from your device first.
- OEM licenses — generally non-transferable; tied to the first device on which they are installed.
- Volume / Education / Charity licenses — non-transferable.
MMKeys is not a party to any transfer you make and accepts no responsibility for the actions of the transferee. The Microsoft EULA remains the controlling document for any transfer.
09Updates & Support
Software updates for the version you purchased are provided by Microsoft, not MMKeys, in accordance with Microsoft's support lifecycle. We do not control update availability and cannot extend Microsoft's support windows.
MMKeys support covers: delivery of the key, activation issues caused by a defective key, and replacement under our Refund Policy. We do not provide general IT support, performance tuning, or training on Microsoft products — Microsoft's documentation and support channels are the primary resource for those.
10Trademarks
"Microsoft", "Windows", "Office", "Visio", "Project", "Outlook", "Word", "Excel", "PowerPoint", "Access", and all related names, logos, and product images are trademarks or registered trademarks of Microsoft Corporation in the United States and other countries. Their use on mmkeys.com is purely descriptive — to identify the product being sold — and does not imply any sponsorship, endorsement, or affiliation between Microsoft and Makers Unity LLC.
11Disclaimer of Warranties
MMKeys warrants that every product key delivered is genuine and will activate the corresponding Microsoft software when used in accordance with Microsoft's instructions and the system requirements published on the product page.
EXCEPT FOR THE FOREGOING, MMKEYS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The Microsoft software itself is provided by Microsoft under its own EULA, and Microsoft is solely responsible for any warranties (or disclaimers thereof) regarding the software's functionality.
12Termination
This Agreement terminates automatically if you fail to comply with its terms or with the Microsoft EULA. On termination, you must stop using the product key and uninstall the software. Termination does not entitle you to a refund where the key has already been activated.
